1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and HydroLog Pty Ltd (ABN pending) ("HydroLog", "we", "us", "our") governing your access to and use of the HydroLog website, platform, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable Australian law

If you are using the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

3. Services Description

HydroLog provides a cloud-based platform for bore management and completion in the groundwater industry. Our Services include, but are not limited to:

• Automated bore diagram generation
• Data import and structuring from PDF and Excel files
• Quality assurance and quality control (QA/QC) validation
• Project and team management tools
• Report generation and export
• Review and sign-off workflows

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

4. User Accounts

To access certain features of the Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable Australian or international law or regulation
• Infringe upon the intellectual property rights of others
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorised access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for any purpose other than their intended use

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, designs, text, graphics, logos, and trademarks, are owned by or licensed to HydroLog.

You retain ownership of any data you upload to the Services. By uploading data, you grant HydroLog a limited licence to use, process, and store that data solely for the purpose of providing the Services to you.

7. Data Ownership & Privacy

Your data remains your property at all times. We will not access, use, or share your data except as necessary to provide the Services or as required by law. Our handling of personal information is governed by our Privacy Policy.

8. Payment Terms

Details of pricing and payment terms will be set out in a separate subscription agreement. All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.

9. Limitation of Liability

To the maximum extent permitted by law, HydroLog shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total liability for any claim arising from these Terms or the Services shall not exceed the total amount paid by you to HydroLog in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by Australian Consumer Law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms. Upon termination, you will have a reasonable period to export your data. We will provide at least 30 days' notice before permanently deleting your data.

12. Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Western Australia.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where applicable, by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
